FCC Clears Level 3's Bid for tw telecom

The FCC cleared Level 3's pending acquisition of tw telecom.

In June 2014 Level 3 Communications agreed to acquire tw telecom in a deal that will combine its global fiber network and international data centers with tw telecom's extensive metro footprint in major U.S. markets. The stock-and-cash transaction was valued at $40.86 per TWTC share, or $5.7 billion in aggregate, based on market close as of June 13, 2014. tw telecom stockholders will receive $10 cash and 0.7 shares of Level 3 common stock for each share of tw telecom common stock that is owned at closing.

Level 3 has already lined up $3 billion of committed financing for the acquisition.

DOJ Clears Level 3's Acquisition of tw telecom

The U.S. Department of Justice has cleared Level 3 Communications' pending acquisition of tw telecom, completing the process under the Hart-Scott-Rodino Antitrust Improvements Act of 1976
(HSR).

tw telecom to Launch Ethernet via Equinix Cloud Exchange

tw telecom is preparing to launch Business Ethernet connectivity directly to the new Equinix Cloud Exchange.  The carrier expects to be the first to provide Ethernet service in the Seattle SE3 International Business Exchange (IBX) data center facility. The service will enable seamless and direct access to multiple cloud services and providers on the Equinix Cloud Exchange

The presence in Seattle also enables tw telecom to offer SE3 tenants secure performance and optimized connectivity directly to the Amazon Web Services (AWS) cloud via a direct connection to the Western US and GovCloud regions.

Level 3 to Acquire tw telecom for its Metro Reach

Level 3 Communications agreed to acquire tw telecom in a deal that will combine its global fiber network and international data centers with tw telecom's extensive metro footprint in major U.S. markets. The stock-and-cash transaction is valued at $40.86 per TWTC share, or $5.7 billion in aggregate, based on market close as of June 13, 2014. tw telecom stockholders will receive $10 cash and 0.7 shares of Level 3 common stock for each share of tw telecom common stock that is owned at closing.

"tw telecom's business model is directly aligned with Level 3's initiatives for growth, which include building managed solutions to meet customer needs through an advanced IP/optical network. The benefits created by this transaction deliver substantial value to both companies' stockholders, as it accelerates our objective of driving profitable growth and strengthening Free Cash Flow per share growth over the long term," said Jeff Storey, president and CEO of Level 3.

The companies expect to achieve $240 million in total run-rate synergies, including $40 million of expected CAPEX savings. The customer mix of the combined company will be about 70% enterprise customers and 30% wholesale customers.

Level 3 has already lined up $3 billion of committed financing for the acquisition.

  • Level 3's prior acquisitions include WilTel (2005), Progress Telecom (2006), ICG(2006), Telcove (2006), Looking Glass Networks (2006), Broadwing (2007), SAVVIS' content delivery network (2007), Servecast (2007), and Global Crossing (2011).
  • Time Warner Communications was founded in 1993 as a joint venture between US West and Time Warner Communications.  The company completed an IPO in 1999. It acquired Xspedius in 2006.

tw telecom Expands Fiber Network Across Los Angeles

tw telecom is expanding its existing footprint in Los Angeles, including fiber rollouts from Santa Monica, into West LA and down into the southern communities of LA County.  tw telecom now serves  business communities across Los Angeles including Century City, El Segundo, Santa Monica, Beverly Hills, Westwood and other areas of West Los Angeles, with its Business Ethernet and Intelligent Network capabilities.

tw telecom Announces Bay Area Network Expansion

tw telecom is undertaking a major expansion of its fiber network in the San Francisco Bay Area.

The Bay Area expansion, including San Francisco, San Jose and Oakland, is part of a national multi-market effort by the company to expand its metro fiber footprint across the country.

tw telecom now delivers direct fiber-based service to more than 30 commercial data centers in the region. Its Its Northern California network extends from south of San Jose to San Francisco, throughout the East Bay into Oakland and Walnut Creek, and north into Sacramento.

"The explosion of growth in the Bay Area tech economy, the renaissance occurring in commercial office parks in the South Bay, as well as increased customer demand for our network services is fueling this expansion," said Dave Ellebrecht, vice president and general manager, tw telecom. tw telecom Expands Metro and Regional Fiber Network into New Markets

tw telecom announced a multi-market expansion of its metro and regional fiber network into five new markets across the U.S.:  Boston, Cleveland, Salt Lake City, Philadelphia and Richmond.

The expansion increases its addressable market by expanding its metro fiber footprint approximately 17%.  tw telecom will also increase the density of its metro-fiber footprint in 27 existing markets.

"Our multi-market expansion will leverage our proven investment model, national network, Ethernet leadership and our powerful and scalable integrated nationwide platform to rapidly rollout products and services across our expanding footprint," said Larissa Herda, tw telecom's Chairman, CEO and President.

tw telecom Seeks to Raise $800 Million

tw telecom inc. (NASDAQ: TWTC) has priced an $800 million offering of Senior Notes, including $450 million aggregate principal amount of 5.375% Senior Notes due 2022 and $350 million in aggregate principal amount of 6.375% Senior Notes due 2023, in a private offering to "qualified institutional buyers".

The company plans to use the net proceeds from the offering to fund the repurchase of tw telecom holdings inc.'s 8% Senior Notes due 2018 in a concurrent cash tender offer and for general corporate purposes.

tw telecom officially launched metro 40G and 100G Business Ethernet services in its 75 metro serving areas. The faster speeds complement its current 2.5G and 10G intra-market Ethernet services.

tw telecom's Constellation Targets On-demand Data Center Access

tw telecom is previewing its upcoming "Constellation Platform", which promises dedicated Ethernet access to a virtual private cloud. The company said its goal is to enable enterprise customers to "click and connect," building new network service connections on demand to data centers and cloud applications providers across the country.

tw telecom will be partnering with leading data center provider CoreSite to demonstrate a prototype version at the upcoming Cloud Expo 2013 in New York City.   The companies said their demonstration will create a new network connection to extend through the data center and into the database application service provider on-demand, in real time.

"Imagine having a dedicated, secure, predictable and scalable Ethernet network for your enterprise's cloud needs.  Then imagine having that network available at the click of a button, building the service connection in real time, on-demand," said John Blount, Chief Operating Officer, tw telecom.  "No more writing service orders, waiting 45 or 120 days or longer for a dedicated network connection.  Our future Constellation Platformsm will enable enterprise customers to establish new Business Ethernet service connections, with as much bandwidth as they need, to any data center or cloud provider we are connected to, in real time."

tw telecom's Larissa Herda to Chair FCC Council


Larissa Herda, tw telecom Chairman, CEO and President, has been named to lead the FCC's Communications, Security, Reliability and Interoperability Council (CSRIC). Her appointment is for the next two years.

Ms. Herda is currently a member of President Obama's National Security Telecommunications Advisory Council (NSTAC), which provides the President with critical advice and recommendations regarding national security, cyber security and emergency preparedness.
