LUCENT TO ACQUIRE EXCEL SWITCHING FOR PROGRAMMABLE SYSTEMS
Lucent Technologies will acquire Excel Switching Corp., a developer of programmable switches, for about $1.7 billion in stock (equivalent to $37 per Excel share). Excel's open, programmable switching platforms are used to provide enhanced voice services, such as prepaid calling cards, follow-me features and unified messaging. Infrastructure applications for the Excel switches could include gateways for international networks, IP networks, VPNs and tandem switches that link multiple local office switches. Excel's platforms also support wireless local loop and remote access applications. The Excel programmable switch, which is scalable from 100 to 30,000 ports, is targeted at new service providers and established service providers entering new markets.  About 4,300 of the switches are currently installed in 70 countries (50% outside the US). The company's revenues for 1998 totaled a record $123.3 million, up 39% over 1997. Lucent said the Excel switch would complement its 7R/E Packet Solutions portfolio, 5ESS Switching portfolio and recently announced Softswitch IP system. Excel is based in Hyannis, Mass. and has 460 employees. http://www.xl.com/

Last year, Ascend Communications acquired Stratus Computer, which also produces programmable switches used for caller identification, call screening, personal numbers, prepaid calling cards, voice activated dialing, number portability and other such carrier telephony features. The Ascend-Stratus deal was valued at $822 million, based on the companies' stock prices at the time.

CISCO SYSTEMS TO ACQUIRE MAXCOMM FOR HOME VOICE LAN/GATEWAYS
Cisco Systems will acquire privately held MaxComm Technologies, a developer of a Virtual Loop Carrier (VLC) System, for approximately $143 million in stock. MaxComm's technology will allow service providers to offer multiple data and voice lines to consumers using xDSL access networks. MaxComm's Virtual Loop Carrier (VLC) System consists of two major components: a Voice LAN to be installed in the home premises, and an ATM Gateway - a combination of hardware and software - residing in the service provider's end office that manages the POTS service. MaxComm was founded in 1998 with funding primarily by Cisco Systems and Sequoia Ventures. The company is led by Dr. Dev Gupta, who previously served as President of Dagaz Technologies, a DSL developer acquired by Cisco Systems in 1997. http://www.cisco.com/warp/public/146/august99/21.html
